IMPORTANT: Please read before installation, download or use of the Humly software/application/service (“Humly Software”) that you are attempting to download or that otherwise accompanies or is provided with this End Use License Agreement (EULA) and Warranty Statement ("Agreement").

 

The Humly Software may be software embedded on hardware or provided with that hardware, or software provided on a stand-alone basis. Any software provided on or with hardware or provided on a stand-alone basis including any upgrades, patches, enhancements or fixes thereto, shall be deemed Humly Software.

 

By actively agreeing to be bound by this Agreement, downloading, installing or in any way using the Software, the entity or company that you represent (”Licensee”) is unconditionally consenting to be bound by and is becoming a party to this Agreement with Humly Solutions AB, co. reg. no. 559233-6480, with address Sveavägen 124, 113 50 Stockholm, Sweden (”Licensor”).

 

Licensee represents and warrants that it has the legal power and authority to enter into this Agreement. If Licensee does not unconditionally agree to all terms of this Agreement (license terms), download, installation or use of the Humly Software is strictly prohibited.

 

This Agreement constitutes the Agreement between Licensor and Licensee with respect to license of the Humly Software (“Software License”). The Agreement forms a legally binding contract between you as Licensee and Licensor in relation to your use of the Humly Software and the Software License. The date of execution of the Agreement is called “Activation Date”.

 

This Agreement may not be modified or waived, except by mutual signed writing, and, if this Agreement is deemed an offer, acceptance is expressly limited to these terms. If there is a mutually signed agreement (not including and purchase order or similar document) expressly covering the Software License by Licensor to Licensee then the express terms of that agreement will govern to the extent such agreement does not conflict with the terms and conditions of this Agreement.

Data Processing Agreement

 Please read before access or use of Humly’s software, services and Cloud based services and products installed or via hosted online web services (Services) that the Customer are attempting to access or use or is provided with Humly’s products.

 

This Data Processing Agreement (Processing Agreement) creates the legal framework, between the Customer as the data controller and Humly as the data processor, for processing of personal data in a manner compliant with EU General Data Protection Regulation 2016/679 (GDPR).

 

By operating the Services that the Customer is using, and by the Customer using such Services, Humly will, on behalf of the Customer (as data controller), process Personal Data selected, collected and submitted by the Customer, and/or third parties designated by the Customer, and stored and used within the Services. The terms of this Processing Agreement only apply to data controller with an active subscription to (one or several of) the Services.

 

By actively agreeing to be bound by this Processing Agreement, the Customer agrees to be bound by this Processing Agreement with Humly Solutions AB, co. reg. no. 559233-6480, including all its Affiliates, with address Sveavägen 124, 113 50 Stockholm, Sweden (Humly).

 

The Processing Agreement constitutes a legally binding contract between Humly and the Customer with respect to processing of Personal Data, in relation to access and use of the Services.

 

Non-English translations of the Processing Agreement are provided for convenience only. In the event of any ambiguity or conflict between translations, the English version is authoritative and controls.

 

Please note: “Clauses 8(d) and 8(e) refer to the Controller’s obligation to respond to Data Subject or Authority enquiries after they are forwarded by the Processor. ‘Upon instructions from the Processor’ refers to such forwarding/notification and does not grant the Processor decision-making authority.”

Data Security Standards

This Data Security Standard policy (Policy) sets forth Humly Solutions AB, co. reg. no. 559233-6480, including all its Affiliates, with address Sveavägen 124, 113 50 Stockholm, Sweden (Humly) technical and organizational security measures for the processing of Service data and Personal Data to ensure a level of security appropriate to risks (Security Standards).

 

These Security Standards apply to all Personal data that Humly receives and process while using Humly operated service and Cloud based services and products via hosted online web services (Services) and Humly’s App.

 

This Policy also creates the legal framework for Humly’s processing of personal data in a manner compliant with EU General Data Protection Regulation 2016/679 (GDPR), and describes how Humly collects, uses, shares, and secures the personal information that You provide. It also describes Your choices regarding use, access, and correction of Your personal information.

The legal basis for our processing of your personal data is legitimate interest and in some cases consent from you as a visitor to our website. If consent is needed we will ask for your active consent. We at Humly are responsible for processing your personal data on our website. Being responsible for personal data means that we must ensure that you as a visitor:

What personal data does Humly store?

All information that identifies you as a person is regarded as personal data. This includes, among other things; your name, address, e-mail, phone number, etc. In addition to this information, cookies are placed in your browser to personalize and enhance your user experience on our website. The purpose of these cookies is to gather information about how you use our site in order to provide you with more relevant content.

When do we store your personal data and cookies?

We collect personal information when you fill out a form to get research material, an article, or when you subscribe to our newsletter or give us your information in other ways on our website. This includes, but is not limited to, registering for training, events, seminars, webinars, via the contact form, etc.
